These Terms and Conditions ("Terms") govern the provision of services by EStars Education Africa Limited (“EStars”, "we," "us," "our") to schools ("you," "your") through our online esports platform, the Esports Club (the “Platform”). By utilizing our services, you agree to be bound by these Terms. We offer a comprehensive online esports platform designed to help students develop core skills, including but not limited to teamwork, communication, strategic thinking, and problem-solving through structured online activities and competitions.

It is your responsibility to provide accurate, up-to-date, and complete data sheets containing all details of students aged 7 to 12 years (or approximately within that age range) (“Eligible Students”) for onboarding onto the Platform. You must ensure that parental/guardian consent is obtained for students to access the Platform where applicable. Any discrepancies or issues identified during the verification process will be communicated to you for resolution.

EStars provides tools, resources, and support for student engagement within the Platform. However, it is the responsibility of the school to drive engagement levels among students.

We strive to ensure that the Platform is available at all times. However, we do not guarantee uninterrupted access and are not liable for any downtime or technical issues beyond our control.

We prioritize the safety and well-being of all users on the Platform. You must ensure that students use the Platform responsibly and adhere to all safety guidelines provided in our Terms of Use, available on our Platform.

The Fee is payable in three installments, due on the first day of each scholastic term. Late payments may result in suspension of access to the Platform. You have the flexibility to monetize this initiative as you see fit.

We are committed to protecting the privacy of all student data provided and comply with all relevant data protection laws. By providing student data, you consent to its use in accordance with our Privacy Policy, available on our Platform.

The Platform and all related content are the intellectual property of EStars. You may not copy, distribute, or create derivative works without express permission.

EStars is not liable for any indirect, incidental, or consequential damages arising from the use of our Platform.

We reserve the right to amend these Terms at any time. Changes will be communicated to you in writing and will take effect upon such notification.

This agreement is governed by Nigerian law. Disputes will be resolved amicably within 30 days or by arbitration under the Arbitration and Mediation Act 2023 if unresolved, with arbitration conducted in Lagos, Nigeria, in English. The arbitrator’s decision is final and binding.
